Jelpala Truck Company Partnership Agreement

This Agreement is entered into between Jelpala (jelpala.com, hereinafter “Jelpala”) and the Truck Company (hereinafter the “Truck Company”) for the purpose of mutual cooperation.

The purpose of this Agreement is to allow drivers affiliated with the Truck Company to voluntarily access additional income opportunities through Jelpala, without changing the Truck Company’s existing transportation structure.

This Agreement does not impose any new legal responsibilities or obligations on the Truck Company, and Jelpala’s services do not expand or modify the Truck Company’s existing responsibility structure.

Article 1. Nature of the Service

  • Jelpala is a platform intermediary and does not directly provide transportation.
  • Service is an auxiliary pickup/drop-off at truck stops.
  • Participation is entirely voluntary for drivers.

Article 2. Definitions

  • Driver: affiliated with a Truck Company but acts individually.
  • User: requests delivery through Jelpala.
  • Service Performance: pickup/drop-off at truck stops.
  • Premium Service: special service announced by Jelpala.

Article 3. Truck Company Role

  • No involvement in dispatch, operations, or claims.
  • No change to employment, contracts, or insurance required.
  • All user responsibility belongs to Jelpala.
  • No additional liability for Truck Company.

Article 4. Fees

Truck Companies may receive fees based on standards announced by Jelpala. Amount, settlement cycle, and payment method follow separate notices.

Article 5. Insurance & Liability

  • Parcel loss/damage: 100% Jelpala responsibility.
  • Traffic accidents: handled by existing commercial insurance.
  • All disputes handled by Jelpala.

Article 6. Data Protection

All data is managed according to PIPEDA and used only for service operation, legal compliance, and settlement purposes.

Article 7. Term & Termination

Agreement is effective upon signup. Either party may terminate by written notice. Accrued fees will still be paid.

Article 8. Governing Law

Governed by the laws of Ontario, Canada. Disputes resolved through consultation or court.

Article 9. General

This Agreement constitutes the entire agreement. Invalid clauses do not affect the rest.
